Refund & Cancellation Policy
Effective Date: 01/09/2026 • Last Updated: 01/09/2026
This Refund & Cancellation Policy (“Policy”) applies to subscriptions and paid services provided by Clock Softwares. By purchasing a Clock Softwares Service, the Customer acknowledges and agrees to this Policy.
1. Strict No Refund Policy (No Refund In Any Case)
Clock Softwares maintains a strict NO REFUND IN ANY CASE policy for all products and subscription plans. Because access to cloud infrastructure, database isolation, feature activation, and software provisioning begins immediately upon payment:
All subscription fees, one-time charges, upgrade payments, and renewal payments are strictly non-refundable under any circumstances once processed.
2. Non-Refundable Situations
No refunds will be provided in any case, including but not limited to:
- Change of mind or personal preference;
- Failure to use the Service or user inactivity;
- Partial use of a billing period or unused time;
- Customer business closure, downsizing, or operational pivots;
- Employee turnover or lack of internal adoption;
- Failure to configure the software or connect third-party integrations;
- Lack of internet connectivity, power, or hardware incompatibility;
- Failure to use available features or modules;
- Cancellation after activation;
- Downgrading a subscription plan;
- Failure to cancel prior to an automatic renewal;
- Account expiration;
- Customer misuse or account suspension due to Terms violations.
3. Monthly Subscriptions
For monthly subscriptions, cancellation may prevent the next renewal. Unless otherwise specified:
Cancellation does not automatically create a refund for the current paid subscription period. The Customer may continue using eligible features until the end of the paid period unless the account is suspended or terminated for violation of the Terms.
4. Annual Subscriptions
Annual subscriptions are generally non-refundable after activation. Cancellation of an annual subscription normally prevents future renewal but does not create a pro-rata refund for the unused portion of the current subscription period.
5. Renewal
Customers are responsible for managing their subscription renewal settings. Where automatic renewal is enabled, the Customer authorizes the applicable payment provider to process the renewal. If the Customer does not wish to renew, the Customer should cancel automatic renewal before the renewal date.
6. Failed Payments
If a renewal payment fails:
- Access may be restricted;
- The Customer may receive payment reminders;
- The account may enter an expired or restricted state;
- Read-only access may be provided where applicable.
Clock Softwares is not responsible for losses caused by payment failure or expired subscriptions.
7. Duplicate Payments
If a Customer accidentally makes a duplicate payment for the same subscription, the Customer should contact Clock Softwares promptly.
After verification, Clock Softwares may, at its discretion and subject to applicable law and payment-gateway restrictions:
- Adjust the duplicate amount against a future subscription;
- Process an eligible refund;
- Provide another appropriate resolution.
8. Unauthorized Transactions
Customers must promptly report transactions they believe are unauthorized. Clock Softwares may investigate the transaction and may request supporting information. Where payment was processed through a third-party payment gateway, the Customer may also need to follow that provider’s dispute process.
9. Upgrade
When a Customer upgrades to a higher plan:
- The higher plan may become active according to the applicable payment system;
- Additional charges may apply;
- Existing plan fees are generally not refundable;
- Any credit or adjustment will be handled according to the applicable billing mechanism.
10. Downgrade
Customers may be permitted to downgrade where the applicable Product supports it. Downgrading may cause the Customer to lose access to resources exceeding the new plan limits. For example, if a Customer moves from a plan supporting 5 engineers and 2 companies to a plan supporting 2 engineers and 1 company, the Service may restrict, lock or disable access to the additional resources. Downgrading does not create an automatic refund.
11. Promotional Offers
Promotional, discounted, coupon or special pricing may be subject to additional restrictions. Unless expressly stated otherwise, promotional payments are non-refundable.
12. GST and Taxes
Applicable GST and other taxes may be charged according to Indian law. Where a refund is legally or commercially approved, the treatment of taxes will be handled according to applicable law and the relevant invoice/payment structure.
13. Payment Gateway Charges
Payment processing may involve third-party gateway fees. Where applicable, such charges may be non-refundable.
14. Service Downtime
Temporary downtime does not automatically create a refund entitlement. Service availability is governed by the applicable SLA.
15. Feature Changes
The modification, replacement or discontinuation of an individual feature does not automatically create a refund. Clock Softwares may change, improve, replace or discontinue features as described in the Terms & Conditions.
16. Account Suspension
If an account is suspended because of:
- Fraud;
- Abuse;
- Security violations;
- Illegal activity;
- Terms violations;
- Unauthorized access;
- Payment violations;
the Customer generally will not be entitled to a refund.
17. Account Deletion
Deleting an account does not automatically create a refund. Customers should review the Account Deletion & Data Retention Policy before requesting deletion.
18. Exceptional Refunds
Clock Softwares may consider exceptional refunds where:
- A technical billing error occurred;
- A duplicate charge occurred;
- A payment was processed incorrectly;
- Required by applicable law;
- The Company determines that an exceptional refund is appropriate.
Approval of one refund does not establish a precedent or create an entitlement to future refunds.
19. Refund Method
Where a refund is approved, it may generally be processed through the original payment method or another legally permissible method. Processing time may depend upon the payment gateway and banking system.
20. Chargebacks
Customers should contact Clock Softwares before initiating a payment chargeback where the issue relates to the Service. Unjustified or fraudulent chargebacks may result in:
- Account suspension;
- Investigation;
- Recovery of amounts owed;
- Restriction of future purchases;
- Legal action where appropriate.
21. Cancellation Procedure
Customers may cancel according to the cancellation mechanism provided in the applicable Service. Where no self-service cancellation facility exists, the Customer may contact:
info@clocksoftwares.com
Cancellation requests should include sufficient account information for verification.
22. Expiry and Read-Only Access
After subscription expiry, the Customer may receive limited read-only access for up to 30 days, where supported by the applicable Product. After the applicable retention period, data may be deleted or anonymized according to the Account Deletion & Data Retention Policy.
23. Policy Changes
Clock Softwares may modify this Policy from time to time. The latest version published on the applicable website shall apply to future purchases and renewals, subject to applicable law.
24. Governing Law
This Policy shall be governed by the laws of India. Subject to applicable law, courts having jurisdiction in Mumbai, Maharashtra, India shall have exclusive jurisdiction.
